Welcome to a-quiet-studio. Payment of the deposit constitutes your full understanding and agreement to all terms listed below, and marks the official commencement of the commission.

Quick Reference

• Payment & IP:40–50% deposit for Animation; 30% for all other services. Full Intellectual Property (IP) rights are assigned only upon receipt of the final payment in full.

• Milestones: Animation projects are divided into three stages; other design services into two. Approval is required at each stage before proceeding.

• Communication: If no response is received for more than 7 business days, a Final Notice will be issued. Failure to respond within 48 hours thereafter will result in the commission being deemed abandoned (non-refundable).

• Revisions: Free revisions are limited to the number confirmed in your quote. Major changes incur extra charges.

• Prohibitions:Strict prohibition on the use of any works for AI training, NFTs, or blockchain-related purposes.

• Jurisdiction: Governed by the laws of England and Wales.

1. Basic Terms

1.1 Binding Agreement

All commissions are considered binding contracts. By paying the deposit, the Client confirms they have read, understood, and agreed to the entirety of these Terms.

1.2 Right of Refusal

Acceptance of any commission is at the Studio's sole discretion based on stylistic fit, legality, and scheduling. The Studio reserves the right to decline any commission without providing a reason.

1.3 Communication & Lapse

If the Client fails to respond for more than 7 business days, the Studio will issue a Final Notice via email. If no response is received within 48 hours of said notice, the commission will be deemed abandoned and all payments made will be non-refundable. Please notify the Studio in advance should you anticipate any delays.

2. Collaboration Modes

2.1 Animation Services (Branded Collaboration)

Final deliverables must include the credit "Production by a-quiet-studio" in the end credits. The Client must ensure this credit remains intact and is not cropped, obscured, or removed in any form.

2.2 General Creative Services (Standard Commission)

Includes character design, asset modelling, graphic design, and all other non-animation services. No mandatory credit is required unless otherwise agreed.

3. Workflow & Milestones

3.1 Enquiry & Quote

The Studio will respond with a quote within 1–2 business days. Please clearly indicate your intended usage (personal or commercial) and service type.

3.2 Service Workflow

── Animation ──

• Stage 1 – Pre-production: Script discussion and storyboard. Deposit of 40–50% due upon approval.

• Stage 2 – Production: Asset creation, animation, and rendering. Second review required.

• Stage 3 – Post-production: Final editing and output. Final payment due upon approval.

※ Once the storyboard is approved, any subsequent change of direction will be treated as a major revision and may affect the timeline/fees.

── General Creative Services ──

• Stage 1 – Drafting: Sketches and layout. Deposit of 30% due upon approval.

• Stage 2 – Finalisation: Detail work, colouring, and rendering. Final payment due upon approval.

3.3 Timeline Communication

Within 3 business days of each approval, the Studio will provide an estimated timeline for the following stage.

4. Intellectual Property & Usage

4.1 Assignment of Copyright

The Intellectual Property Rights (IPR) will be formally assigned to the Client only upon receipt of the final payment in full. The Studio will provide written confirmation of transfer via email upon request.

4.2 Usage Rights

Pricing is determined by complexity rather than usage. Once the final balance is cleared, the Client is free to use the work for its intended purposes within legal bounds.

4.3 Moral Rights

The Studio asserts all Moral Rights under the Copyright, Designs and Patents Act 1988, including the right to be identified as the creator. The Studio reserves the right to include the work in its portfolio for non-commercial promotional purposes.

4.4 Source Files & Asset Restrictions

Fees do not include editable source files (e.g., .psd, .ztl, .ma) or individual assets extracted from the final deliverable. Source files may be requested for an additional fee of 30% or more, and must be requested prior to work commencement.

5. Revisions, Retention & Restrictions

5.1 Revision Policy

The number of complimentary revisions will be specified in the quote. Any revisions exceeding this, or changes that materially alter the agreed scope, will be subject to additional charges.

5.2 File Retention

The Studio is obligated to retain final deliverables for 30 days. Requests after this period will be treated as a new commission.

5.3 AI & Blockchain Prohibition

Use of work for AI training (including LoRA and feature extraction), NFT minting, or blockchain applications is strictly prohibited. Any violation constitutes a severe breach of contract.

5.4 Content Restrictions

No hateful, discriminatory, unlawful, or political propaganda. NSFW content is not accepted unless separately agreed in writing.

6. Payment & Refund Policy

6.1 Payment Methods

Accepted via Bank Transfer, Stripe / Credit Card, PayPal, or Wise. Transaction fees are to be covered by the Client.

6.2 Refund Scale

• Animation:

  • Cancel within 24 hours (no work started) → Full refund.

  • Cancel after storyboard approval (deposit paid) → 30% of deposit refunded.

  • Cancel after production stage → Deposit non-refundable; 50% of balance refunded (if pre-paid).

• General Creative Services:

  • Cancel after sketch approval (deposit paid) → 40% of deposit refunded.

  • Cancel after final approval → No refund.

6.3 Disputed Transactions

Bad-faith chargebacks will result in the suspension of all usage rights and a permanent ban. The Studio reserves the right to publicly disclose factual details of the transaction.

7. Delivery & Delay

• 7.1 Delay Compensation:

  If a Studio-caused delay exceeds 3 business days, the Client may negotiate a discount of 5%–15% on the outstanding balance.

• 7.2 Termination:

  If a Studio-caused delay exceeds 7 business days, the Client may terminate and request a refund based on the current stage.

• 7.3 Rush Orders:

  Must be declared at enquiry. A surcharge of 30%–100% will apply.

8. Confidentiality & Portfolio Usage

• 8.1 Portfolio Rights: Commercial works remain confidential until the Client's official release.

• 8.2 Delayed Disclosure Fees:

  • 31–90 days: +5% of total project fee.

  • 91 days or more: +10% of total project fee.

9. General Provisions

• 9.2 Limitation of Liability: To the maximum extent permitted by law, the Studio's total liability shall not exceed the total amount paid by the Client for the project. The Studio is not liable for indirect or consequential losses.

• 9.3 Business Days: Monday to Friday, excluding public holidays in England and Wales.

• 9.4 Jurisdiction: Governed by and construed in accordance with the laws of England and Wales.
